$ENZC - One thing I can positively deduce is that $SAGA would not be entertaining a $250MM deal (possibly more) if they weren't convinced that this was a good investment, and that this investment was at least worth $250MM. The Enterprise Value is typically 3-5x the deal proceeds which is why I estimated a valuation of $1.25B for both VIRO and BGEN assets. This valuation; however, does not reflect future potential and why they perform a SPAC in the first place. We have been privy to much of the progress that the company has made, but if there was ever a time for a solid NDA, this would've been it. SAGA Sponsors who are conducting the deal have likely been exposed to information about the company that we have not fully seen in order to come up with a valuation. Eitherway, I think everything changes this year. Securing funds to advance the entire pipeline will be an incredible achievement, likely followed my more scientific milestones. We're winning 2023. 🏆

@GodfatherCap I listened. As a disclaimer, until a term sheet arrives anything is speculation either way. But to your point, you're under the assumption that this is going to be a reverse merger, which is typically what a SPAC does. If that's the case then you're correct. Another possibility is that this is just a sale of subsidiaries, which is what was mentioned in the PR (merger wasn't). In that case it's most common for the buyer of the subsidiaries to become the owner of said subsidiaries. This would be in line with the intention that $SAGA had in their filings. Of course there's the possibility that this intention has changed but we can't know. Regardless, until we see a term sheet nobody knows either way.

Management

Officers and Directors We will have five directors upon completion of this offering. Our board of directors will be divided into two classes, with only one class of directors being elected in each year and each class (except for those directors appointed prior to our first annual meeting of stockholders) serving a two-year term. In accordance with Nasdaq corporate governance requirements, we are not required to hold an annual meeting until one year after our first fiscal year end following our listing on Nasdaq. The term of office of the first class of directors, consisting of Messrs. Del Virginia and Lolli-Ghetti, will expire at our first annual meeting of stockholders.
